1. ACCEPTANCE OF TERMS

1.1 Agreement.
These Terms of Service (“Terms”) form a legally binding agreement between you (“Client,” “User,” or “you”) and Vantage Link Solutions LLC (“VLS,” “we,” “us,” or “our”). These Terms govern your use of our website, Go High Level (“GHL”) systems, remote staffing services, and all related products and communications (“Services”).

1.2 Consent to Terms.
By accessing our website, submitting information, booking a consultation, or purchasing Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.3 Authority.
If entering on behalf of an organization, you confirm that you have legal authority to bind that organization.


2. SERVICES PROVIDED

2.1 Scope of Services.
VLS provides remote staffing solutions, including:

Recruitment, vetting, and matching of remote workers

Placement of administrative, marketing, technical, and executive support roles

Contractor coordination and communications

Business support & consultation related to staffing

Systems built using GHL workflows, calendars, funnels, and automation

2.2 Limitations.
VLS does not:

Guarantee specific outcomes, performance, or results

Act as an employer of remote workers

Provide legal, financial, or tax advice

Supervise contractor work on a day-to-day basis

Provide any service requiring professional licensure

2.3 Independent Contractors.
All remote professionals placed by VLS operate as independent contractors, not employees of VLS.
Clients understand that:

Contractors control their own work processes

Contractors may work with other clients

VLS does not direct or manage daily activities

Contractor agreements, work product, and legal compliance obligations belong to the Client and the contractor(s), unless otherwise outlined in a separate written agreement.


3. ACCOUNT REGISTRATION

3.1 Account Requirements.
You may be required to create an account within GHL to:

Access onboarding materials

View appointments

Receive automated reminders

Manage billing or communication preferences

You agree to provide accurate, complete information and keep your account secure.

3.2 Unauthorized Use.
You must notify us immediately if your account or personal information becomes compromised.

3.3 Termination of Access.
We may suspend or terminate accounts that:

Violate these Terms

Provide false information

Abuse our platform or staff

Engage in fraudulent activity


4. COMMUNICATIONS CONSENT

4.1 Electronic Communications.
By using our Services, you consent to receive:

Emails

SMS/MMS messages

Phone communications

Automated reminders

GHL system notifications

4.2 SMS/MMS Consent & TCPA Compliance.
By providing your phone number and opting in, you authorize VLS to send:

Appointment reminders

Service updates

Marketing messages (with express written consent)

Message frequency varies. Standard rates apply.

You may opt out any time by replying STOP.

4.3 Opt-Out of Communications.

Email: Click “Unsubscribe” in any email

SMS: Reply STOP

Direct request: [email protected]

Opting out of essential service notifications may limit your ability to use our Services.


5. PAYMENT TERMS

5.1 Payment Processing via Stripe.
All payments are securely processed through Stripe. By submitting payment information, you authorize:

Recurring charges (if applicable)

One-time invoiced payments

Automatic billing for subscription or service renewals

5.2 Fees.
Client agrees to pay:

Placement fees

Monthly ongoing payroll/management fees (if applicable)

Any service-specific fees outlined in proposals or agreements

All amounts are in USD and non-refundable unless explicitly stated.

5.3 Taxes.
Client is responsible for all applicable taxes.

5.4 Failed Payments.
If payments fail, VLS may:

Suspend services

Terminate access

Apply late fees

Use third-party collection efforts


6. REFUND POLICY

6.1 Refund Eligibility.
Refunds may be granted at the sole discretion of VLS and only when:

Services paid for were not delivered

Duplicate charges occurred

VLS made an administrative error

6.2 Non-Refundable.
The following are not refundable:

Recruitment efforts already performed

Onboarding or administrative fees

Staff hours already worked

Monthly service fees already rendered

Third-party costs incurred

6.3 Refund Process.
Requests must be submitted in writing to:

Processing time is typically 10–14 business days.


7. INTELLECTUAL PROPERTY

7.1 VLS Materials.
All website content, branding, text, graphics, workflows, automations, and materials created by VLS remain exclusive property of VLS.

7.2 Client Materials.
Clients retain ownership of content they provide to be used for staffing purposes.

7.3 Contractor Work Product.
Unless otherwise agreed in writing:

Work performed by contractors belongs to the Client.

VLS makes no claim of ownership over contractor deliverables.

7.4 Restrictions.
You may not:

Copy or redistribute VLS intellectual property

Reverse engineer any system

Remove proprietary notices

Use VLS materials outside the scope of the Services


8. ACCEPTABLE USE

Users agree not to:

Violate any laws or third-party rights

Misuse or attempt to hack GHL systems

Harass staff or contractors

Provide false or misleading information

Use Services for fraudulent purposes

VLS may terminate access for violations at its discretion.


9. DISCLAIMERS & WARRANTIES

9.1 No Warranty.
All Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind.

9.2 No Guarantee of Outcomes.
VLS does not guarantee:

Contractor performance

Specific business results

Availability of any particular contractor

9.3 Third-Party Tools.
We are not responsible for:

Stripe’s processing errors

GHL outages or failures

Google Workspace downtime


10. LIMITATION OF LIABILITY

10.1 Maximum Liability.
To the fullest extent permitted by law, VLS’s total liability shall not exceed the greater of:

The amount you paid in the past 12 months, OR

$100 USD

10.2 No Liability For:

Lost profits

Lost data

Indirect or consequential damages

Contractor actions or omissions

Delays or force majeure events


11. INDEMNIFICATION

You agree to indemnify and hold harmless VLS from claims related to:

Breach of these Terms

Misuse of the Services

Violations of law

Disputes between you and contractors


12. DISPUTE RESOLUTION

12.1 Governing Law.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law rules.

12.2 Mandatory Arbitration.
Any dispute arising out of these Terms shall be resolved through binding arbitration conducted in Sheridan County, Wyoming.

12.3 Class Action Waiver.
You waive any right to participate in class or representative actions.

12.4 Time Limit.
Claims must be brought within one (1) year.


13. TERMINATION

13.1 By Client.
You may terminate Services by notifying us in writing and satisfying all outstanding payment obligations.

13.2 By VLS.
We may terminate Services for:

Non-payment

Fraudulent activity

Harassment or abuse

Breach of these Terms

Inappropriate conduct toward staff or contractors

13.3 Effects of Termination.
Upon termination:

Services cease immediately

All outstanding fees become due

Certain provisions (IP, liability, indemnification) survive termination


14. MODIFICATIONS TO TERMS

VLS may update these Terms at any time. Material changes will be communicated via:

Website notice

Email

Account notification

Continued use of Services constitutes acceptance of modified Terms.


15. PRIVACY POLICY

Your use of Services is also subject to our Privacy Policy, available at:

16. GENERAL PROVISIONS

These Terms constitute the entire agreement.

If any provision is invalid, the remainder remains enforceable.

VLS may assign these Terms; Clients may not assign without written consent.

Nothing creates an employment or partnership relationship between VLS and contractors or clients.
